Terms of Service

These terms are provided as a reasonable starting point for a financial-SaaS engagement in Texas. They are not legal advice and have not been reviewed by counsel. Consult a licensed attorney before publication.

1. Agreement

These Terms of Service ("Terms") govern your use of MA Finance Hub ("Service"), provided by MA Intelligent Systems LLC ("Company", "we", "us", "our"), a Texas limited liability company with its principal place of business in Odessa, Texas. By creating an account, accessing, or using the Service you agree to be bound by these Terms.

2. Description of the Service

MA Finance Hub is a multi-tenant software-as-a-service platform for accounting, invoicing, expense tracking, banking integration, inventory, purchase orders, payroll recording, reporting, and related back-office workflows.

The Service is a tool. It is not a provider of accounting, tax, legal, or financial advice. Outputs of the Service (reports, totals, tax calculations, 1099s, payroll summaries, financial statements) are generated from data you provide and are your responsibility to review before use in any regulatory, tax, audit, or legal context. Your accountant, bookkeeper, tax preparer, or attorney remains the authoritative reviewer.

3. Eligibility and Account

  • You must be at least 18 years old.
  • You must have legal authority to bind the business entity ("Tenant") you register.
  • You agree to provide accurate information and to keep it current.
  • The person creating a Tenant becomes the "Owner" and is responsible for that Tenant's users, data, billing, and compliance.
  • You are responsible for safeguarding your credentials. We recommend enabling multi-factor authentication.

4. Plans, Pricing, Trials, and Billing

  • Plans are billed monthly or annually at the price displayed at purchase.
  • Eligible new accounts may access a 14-day trial. During the trial, no charges are made unless you explicitly convert the subscription.
  • Subscriptions renew automatically at the end of each billing period at the then-current rate. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Except as required by applicable law, fees already paid are non-refundable.
  • Sales tax, VAT, or other similar taxes may apply based on your location.
  • Late payments may result in suspension of the Service following reasonable notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of Texas, U.S. federal, or other applicable law;
  • Upload or transmit content that is unlawful, defamatory, or infringes intellectual-property rights;
  • Attempt to gain unauthorized access to the Service, other tenants' data, or any underlying infrastructure;
  • Interfere with, disrupt, or overload the Service (including automated scraping beyond fair-use API limits);
  • Resell, sublicense, or use the Service to provide a competing product without written authorization;
  • Use the Service to process data of EU or UK data subjects without a signed Data Processing Addendum with us.

6. Your Data and Tenant Isolation

You retain ownership of the data you upload to your Tenant ("Customer Data"). We act as a data processor for Customer Data. We enforce tenant isolation in the database (row-level security) so that data belonging to one Tenant is not accessible to users of another Tenant.

You grant us a limited license to process Customer Data solely to operate and improve the Service, provide support, and perform backups and security monitoring.

7. Confidentiality and Security

We apply industry-reasonable safeguards including TLS in transit, encryption at rest for sensitive fields, role-based access, multi-factor authentication for privileged roles, audit logging, and regular backups. No system is perfectly secure; in the event of a breach affecting your data we will notify you in accordance with applicable law.

8. Intellectual Property

The Service, excluding Customer Data, is owned by the Company and protected by U.S. and international intellectual-property laws. Nothing in these Terms transfers any of the Company's intellectual-property rights to you beyond the limited, revocable, non-exclusive right to use the Service for your internal business purposes.

9. Third-Party Services

The Service integrates with third-party providers (such as Stripe for payment processing, Plaid for bank connections, Cloudflare for edge security, and an SMTP provider for transactional email). Your use of those integrations is subject to those providers' own terms. We are not responsible for third-party services.

10. Termination

You may terminate your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, with reasonable prior notice where practical. On termination we will make a reasonable attempt to allow you to export your data for a period of thirty (30) days; after that, Customer Data may be deleted in accordance with our data-retention policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT REPORTS OR CALCULATIONS WILL BE ACCURATE OR COMPLIANT WITH APPLICABLE TAX, ACCOUNTING, OR REGULATORY STANDARDS — YOUR CPA OR ATTORNEY REMAINS RESPONSIBLE FOR SUCH REVIEW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company from any claim arising out of (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of any applicable law or third-party right.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Exclusive venue for any dispute lies in the state or federal courts located in Ector County, Texas (Odessa).

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email to Tenant Owners at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
